Based on Taiwan’s statutory obligations from the law, a company shall, at the end of each fiscal year, submit its shareholders with financial statements for approval. Under certain circumstances, the company shall have its financial statements audited by a certified public accountant prior to the approval.
Article 20(ⅰ) of Taiwan’s Company Act:the director must, in respect of each financial year, lay before the company that exceeds certain criteria (as below) in her annual general meeting a copy of an “audited” reporting documents for the financial year. Article 20(ⅳ) further states that each director of a company who willfully fails to fulfill all reasonable procedures to secure compliance with subsection (1) commits an offence and is liable to a fine of NT$10,000~50,000.
(ⅰ).Whereas the company’s equity capital exceeds NT$ 30,000,000﹝$1,000,000 USD﹞.
(ⅱ).Whereas an entity with annual sales exceeds NT$ 100,000,000﹝$3,000,000 USD﹞, even if its equity capital does not exceed condition.
(ⅲ).Whereas an entity with more than 100 employees on labor insurance record, even if its equity capital does not exceed condition.
